Case Background:
This is a class action lawsuit filed on behalf of those who purchased or otherwise acquired Semtech Corporation (“Semtech”) (NASDAQ: SMTC) securities between October 10, 2024, and February 7, 2025, inclusive (the “Class Period”).
The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about the company’s business, operations, and prospects. Specifically, Defendants failed to disclose to investors that: (1) Semtech’s CopperEdge products did not meet the needs of its server rack customer or end users; (2) as a result, the CopperEdge products required certain rack architecture changes; (3) as a result of the foregoing, Semtech’s sales of CopperEdge products would not ramp-up during fiscal 2026; (4) as a result, sales of CopperEdge products would be lower-than-expected; and (5) as a result of all of the foregoing, Defendants’ positive statements about the company’s business, operations, and prospects were materially misleading and/or lacked a reasonable basis.
Current Status of Case:
Defendants filed a Motion to Dismiss the Amended Complaint on August 11, 2025.
