Case Background:
This is a federal securities fraud class action lawsuit on behalf of those who purchased or otherwise acquired Semtech Corporation (“Semtech”) (NASDAQ: SMTC) securities between October 10, 2024 and February 7, 2025, inclusive (the “Class Period”).
The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about Semtech’s business, operations, and prospects. Specifically, Defendants failed to disclose to investors that: (1) Semtech’s CopperEdge products did not meet the needs of its server rack customer or end users; (2) as a result, the CopperEdge products required certain rack architecture changes; (3) as a result of the foregoing, Semtech’s sales of CopperEdge products would not ramp-up during fiscal 2026; (4) as a result, sales of CopperEdge products would be lower-than-expected; and (5) as a result of the foregoing, Defendants’ positive statements about Semtech’s business, operations, and prospects were materially misleading and/or lacked a reasonable basis at all relevant times.
Current Status of Case:
On October 7, 2025, the Court granted in part and denied in part Defendants’ Motion to Dismiss. Defendants’ Answer to the Complaint is due to be filed on November 25, 2025. This action is in the discovery phase and is ongoing.
