Spirit AeroSystems Holdings, Inc. Securities Fraud Class Action

Case Background:

On February 10, 2020, the initial complaint in this securities class action was filed against Spirit AeroSystems Holdings, Inc. (“Spirit” or the “Company”), and certain of Spirit’s directors and officers, asserting violations of Sections 10(b) and 20(a) of the Securities Exchange Act. This is a federal securities class action on behalf of all persons and entities who purchased Spirit common stock between October 31, 2019 and February 27, 2020, both dates inclusive (the “Class Period”).

The complaint alleges that, throughout the Class Period, Defendants made false and/or misleading statements and/or failed to disclose that: (1) the Company lacked effective internal controls over financial reporting; (2) the Company did not comply with its established accounting principles related to potential contingent liabilities; and (3) as a result, Defendants’ statements about its business, operations, and prospects, were materially false and misleading and/or lacked a reasonable basis at all relevant times.

Current Status of Case:

On July 20, 2020, Lead Plaintiff filed a consolidated complaint (the “Complaint’). Defendants filed a Motion to Dismiss the Complaint on September 18, 2020.  On January 7, 2022, the Court issued an Order granting Defendants’ Motion to Dismiss. On February 4, 2022, Plaintiffs filed Notice of Appeal to the United States Court of Appeals for the Tenth Circuit. On August 21, 2023, the Tenth Circuit Court of Appeals affirmed the dismissal of the action.  This action has concluded.
