Case Background:
This is a federal securities fraud class action lawsuit on behalf of those who purchased or otherwise acquired Autodesk, Inc. (“Autodesk”) (NASDAQ: ADSK) securities between February 23, 2023 and April 16, 2024, inclusive (the “Class Period”). 

Autodesk is a software design company that generates most of its revenue through software subscription sales. 

The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material facts about the company’s business, operations, and prospects. Specifically, Defendants misrepresented and/or failed to disclose that (1) Autodesk lacked adequate internal controls as a result of issues with its free cash flow and non-GAAP operating margin practices; and (2) as a result of the foregoing, Defendants’ statements about the company’s business, operations, and prospects were materially false and/or misleading and/or lacked a reasonable basis at all relevant times.

Current Status of Case:
On January 26, 2026, the Court granted Defendants’ Motion to Dismiss Second Amended Complaint. On March 12, 2026, the Lead Plaintiff appealed the dismissal to the United States Court of Appeals for the Ninth Circuit. The Appeal is currently being briefed by the parties. This action is ongoing.
