The Chemours Company securities fraud class action lawsuit was filed on behalf of those who purchased or otherwise acquired The Chemours Company (“Chemours”) (NYSE: CC) securities between February 20, 2026 and August 4, 2026, inclusive (the “Class Period”). Captioned Darcy v. The Chemours Company, No. 26-cv-01299 (D. COMPLAINT ALLEGATION SUMMARY:
Chemours is an American chemical company that offers a range of industrial and specialty chemical products for markets including, but not limited to, refrigeration and air conditioning. Chemours’s Thermal & Specialized Solutions (“TSS”) segment sells its product OpteonTM, a set of refrigeration chemicals with a “near-zero ozone-depletion footprint.”

The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material facts about the company’s business, operations, and prospects. Specifically, Defendants misrepresented and/or failed to disclose that: (1) Defendants had materially overstated aftermarket demand for their Opteon products; (2) demand for such products was decreasing as a result of Defendants’ overselling Opteon products in the preceding fiscal year; (3) as a result of these undisclosed issues, Defendants’ financial guidance for the 2026 fiscal year was unreliable; and (4) as a result of the foregoing, Defendants’ statements about the company’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.

WHY DID CHEMOURS’ STOCK DROP?
After the market closed on August 4, 2026, Chemours announced its second quarter 2026 financial results, revealing, among other things, that the company reduced its adjusted EBITDA full year guidance to $775 million to $825 million, down from $800 million to $900 million previously. The company attributed this, and its year-over-year net sales decrease of approximately 1%, to a “4% decrease in volumes.” Specifically, it stated that “[t]he volume decline was primarily driven by lower TSS Opteon™ blends aftermarket refrigerant sales.”

On this news, the price of Chemours stock fell $3.34 per share, or 18.63%, to close at $14.59 per share on August 5, 2026.

THE LEAD PLAINTIFF PROCESS:
The Private Securities Litigation Reform Act of 1995 permits any investor who purchased or acquired Chemours securities during the Class Period to seek appointment as lead plaintiff in the Chemours class action lawsuit. A lead plaintiff is a representative party that acts on behalf of other class members in directing the litigation. In order to be appointed lead plaintiff, the Court must determine that the class member’s claim is typical of the claims of other class members, and that the class member will adequately represent the class. Your ability to share in any recovery is not, however, affected by the decision whether or not to serve as a lead plaintiff. Filling out the online form above or communicating with any counsel is not necessary to participate or share in any recovery achieved in this case. Any member of the purported class may move the court to serve as a lead plaintiff through counsel of his/her choice, or may choose to do nothing and remain an inactive class member.
