JudgeHonorable Jesse M. Furman
Class PeriodAugust 11, 2025 through February 6, 2026
Security TypeOrdinary Shares

Case Background:
This is a federal securities fraud class action lawsuit on behalf of investors who purchased or otherwise acquired monday.com Ltd. (“monday”) (NASDAQ: MNDY) ordinary shares between August 11, 2025 and February 6, 2026, inclusive (the “Class Period”).

monday is in the business of developing software applications, and offers a cloud-based Work Operating System, which is a modular platform that allows users to build custom workflow and management applications. The company’s software was specifically designed to work best for small and medium sized businesses (“SMB”), who were also more likely to independently search and sign up for its products and services through its “no-touch” program.

The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material facts about the company’s business, operations, and prospects. Specifically, Defendants misrepresented and/or failed to disclose that: (1) the company minimized erosion in its no-touch channel by portraying it as temporary, trivial, and quickly remedied, and later assuring that the channel had stabilized when it had not; (2) the projection of $1.8 billion in revenue by fiscal year (“FY”) 2027 that was repeatedly announced and reaffirmed lacked any reasonable basis; (3) adoption and monetization of the company’s new AI products was unproven to drive revenue growth and investment in those AI products was impacting the company’s margins rather than accelerating profitable growth; and/or (4) as a result of the foregoing, Defendants’ statements about the company’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.
