Case Background:
A class action lawsuit was filed on behalf of those who purchased or otherwise acquired Tempus AI, Inc. (“Tempus”) (NASDAQ: TEM) common stock between August 6, 2024, and May 27, 2025, inclusive (the “Class Period”).

The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material facts about the company’s business, operations, and prospects.  Specifically, Defendants misrepresented and/or failed to disclose that: (1) Tempus inflated the value of its contract agreements, many of which were with related parties; (2) the credibility and substance of Tempus’ joint venture with SoftBank was questionable because it gave the appearance of “round-tripping” capital to create revenue for Tempus; (3) Ambry, a company acquired by Tempus, had a business model based on aggressive and potentially unethical billing practices that risked scrutiny and unsustainability; (4) AstraZeneca had reduced its financial commitments to Tempus and a purported $35 million contract extension actually was a questionable “pass-through payment” via a joint agreement between AstraZeneca, Tempus and Pathos AI; (5) the foregoing issues revealed weakness in Tempus’ core operations and revenue prospects; and (6) as a result, Defendants’ statements about the company’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.

In order to be appointed lead plaintiff, the Court must determine that the class member’s claim is typical of the claims of other class members, and that the class member will adequately represent the class.
