Case Background:
This is a federal securities fraud class action lawsuit on behalf of those who purchased or otherwise acquired Semtech Corporation (“Semtech”) (NASDAQ: SMTC) common stock between October 10, 2024 and February 7, 2025, inclusive (the “Class Period”).
Semtech is a provider of high-performance semiconductors, Internet of Things (“IoT”) systems, and cloud connectivity service solutions. Semtech’s business is divided into the operating segments: Signal Integrity, Analog Mixed Signal and Wireless, and IoT Systems and Connectivity. Under the Signal Integrity segment is its CopperEdge product portfolio, which focuses on high-performance copper-based data linked used to connect different components inside data centers.
The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about Semtech’s business, operations, and prospects. Specifically, Defendants misrepresented and/or failed to disclose that: (1) Semtech’s CopperEdge products did not meet the needs of its server rack customer or end users; (2) as a result, the CopperEdge products required certain rack architecture changes; (3) as a result of the foregoing, Semtech’s sales of CopperEdge products would not ramp-up during fiscal 2026; (4) as a result, sales of CopperEdge products would be lower-than-expected; and (5) as a result of the foregoing, Defendants’ statements about the company’s business, operations, and prospects were materially false and/or misleading and/or lacked a reasonable basis at all relevant times.
Current Status of Case:
On November 25, 2025, Defendants filed an Answer to the Complaint. This action is in the discovery phase and is ongoing.
