On February 8, 2018, the initial complaint in this securities class action was filed against Super Micro Computer, Inc. ("Super Micro" or the "Company"), and certain of Super Micro’s directors and officers, asserting violations of sections 10(b) and 20(a) of the Securities Exchange Act. The Complaint alleges that throughout the class period, defendants made materially false and misleading statements regarding the Company's business, operational and compliance policies. Specifically, defendants made false and/or misleading statements and/or failed to disclose that: (i) Super Micro's financial statements contained accounting errors, including errors with respect to one of the Company's sales transactions; (ii) as such, the Company's internal controls were not effective; (iii) Super Micro lacked the capability to timely review and assess the impact of the foregoing issues; and (iv) as a result, Super Micro's public statements were materially false and misleading at all relevant times.
This securities class action lawsuit was brought on behalf of all purchasers of the common stock of Super Micro between August 5, 2016 and January 30, 2018, inclusive.
On March 23, 2020, the Court granted defendants' motion to dismiss Lead Plaintiffs’ Second Amended Consolidated Complaint. Plaintiffs filed their Third Amended Consolidated Complaint on April 22, 2020. The Court ordered Lead Plaintiffs to amend the operative complaint to incorporate information regarding certain SEC cease-and-desist Orders related to this action. On October 14, 2020, Lead Plaintiffs filed their Fourth Amended Consolidated Class Action Complaint. On October 28, 2020, defendants filed a Motion to Dismiss the Fourth Amended Consolidated Class Action Complaint. This Motion is currently being briefed by the parties. On March 29, 2021 the Court granted in part and denied in part Defendants’ Motion to Dismiss. On April 30, 2021 Defendants filed an Answer to Plaintiffs’ Fourth Amended Complaint. A scheduling Order was entered on April 27, 2021setting ime limitations for Amended Pleadings and Motions for September 1. 2021 and replies due by December 22, 2021. A Further Case Management conference was held on June 25, 2021 that found the case on track. This action is still ongoing.
