According to the complaint, Spirit designs, manufactures, and supplies commercial aero structures in the United States and internationally.
The Class Period commences on October 31, 2019, when Spirit filed a Form 10-Q with the SEC, which provided its financial results and position for the fiscal quarter ended September 26, 2019.
According to the complaint, on January 30, 2020, before the market opened, Spirit issued a press release announcing that Spirit had determined that it did not comply with its accounting procedures, and that, in light of those findings, Jose Garcia, Spirit’s Chief Financial Officer since January 9, 2019, and John Gilson, Spirit’s Vice President of Finance and Controller since January 8, 2018, had resigned.
Following this news, Spirit’s shares fell $2.56 per share, or approximately 4%, to close at $65.08 per share on January 30, 2020.
The complaint alleges that, throughout the Class Period, the defendants made false and/or misleading statements and/or failed to disclose that: (1) Spirit lacked effective internal control over financial reporting; (2) Spirit did not comply with its established accounting principles related to potential contingent liabilities; and (3) as a result, the defendants’ statements about Spirit’s business, operations and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.
If you are a member of the class described above, you may no later than April 10, 2020 move the Court to serve as lead plaintiff of the class, if you so choose.
A lead plaintiff is a representative party that acts on behalf of other class members in directing the litigation. In order to be appointed lead plaintiff, the Court must determine that the class member’s claim is typical of the claims of other class members, and that the class member will adequately represent the class.
