Case Background:

On September 27, 2019 the initial complaint in this securities class action was filed against Overstock.com and certain of Overstock.com’s directors and officers, asserting violations of Sections 10(b) and 20(a) of the Securities Exchange Act.

The complaint alleges that throughout the class period, Defendants made materially false and misleading statements regarding the Company’s business, operational and. prospects. Specifically, the complaint alleges that throughout the Class Period, defendants represented to investors that improvements in Overstock’s Retail division would fund the launch of tZERO, the Company’s crypto currency project and that the Company could expect to earn at least $17.5 million of EBITDA by year end 2019.This is a federal securities class action on behalf of all persons who purchased or otherwise acquired Overstock.com securities between May 9, 2019, through November 12, 2019 both dates inclusive.

Current Status of Case:

On November 6, 2024, notice was filed in the district case that the Tenth Circuit affirmed the district court’s dismissal of the case on October 15, 2024.  This action has concluded.
