Case Background:
A class action lawsuit was filed on behalf of those who purchased or otherwise acquired Nutex Health Inc.(“Nutex”) (NASDAQ: NUTX) securities between August 8, 2024 and August 14, 2025, inclusive (the “Class Period”).
The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material facts about the company’s business, operations, and prospects. Specifically, Defendants misrepresented and/or failed to disclose that: (1) HaloMD, a third-party independent dispute resolution vendor, was achieving lucrative arbitration results for Nutex by engaging in a coordinated scheme to defraud insurance companies, resulting in the revenue from the product of this fraudulent conduct unsustainable; (2) Nutex continued to face key weaknesses in its internal controls over financial reporting; (3) Nutex was unable to effectively account for the treatment of some of its stock based on compensation obligations, leading to these stock based compensation obligations being improperly calculated; and (4) as a result of the foregoing, Defendants’ statements about the company’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.
What is a Lead Plaintiff?
A lead plaintiff is a representative party that acts on behalf of other class members in directing the litigation. In order to be appointed lead plaintiff, the Court must determine that the class member’s claim is typical of the claims of other class members, and that the class member will adequately represent the class. Your ability to share in any recovery is not, however, affected by the decision whether or not to serve as a lead plaintiff.
