Case Background:
A class action lawsuit was filed on behalf of those who purchased or otherwise acquired CTO Realty Growth, Inc. (“CTO”) (NASDAQ: CTO) securities between February 18, 2021 and June 24, 2025, inclusive (the “Class Period”).

The complaint alleges that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material facts about the company’s business, operations, and prospects.  Specifically, Defendants misrepresented and/or failed to disclose that: (1)  CTO’s dividends were less sustainable than Defendants led investors to believe; (2) CTO used deceptive and unsustainable practices to artificially inflate its Adjusted Funds from Operations financial metric, and overstated the true profitability of its Ashford Lane property; (3) because of this, its business and/or financial prospects were overstated; and (4) as a result of the foregoing, Defendants’ statements about the company’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.
 

What is a Lead Plaintiff?

A lead plaintiff is a representative party that acts on behalf of other class members in directing the litigation. In order to be appointed lead plaintiff, the Court must determine that the class member’s claim is typical of the claims of other class members, and that the class member will adequately represent the class.
